By submitting information about products, materials, services, and processes (collectively, “Product”) to the NEWH Healthy Hospitality Resource Directory (“Directory”), I hereby agree to the following terms.
1. Definitions.
Content. Any descriptions, photos, videos, specifications, instructions, manuals, testimonials, articles, slide decks and related materials including without limitation links to websites providing information about Product from Submitter to the NEWH Healthy Hospitality Resource Directory.
NEWH. Collectively: NEWH, Inc.; Network of Executive Women in Hospitality UK Limited; Network of Executive Women in Hospitality Canada, Inc.; and their respective Chapters and Affiliates.
Review Committee. The review committee is composed of brand executives and international design firms with expertise from all segments of the industry.
Submitter. Any person or entity submitting Content to NEWH.
2. Rights To and In Product. Submitter hereby represents and warrants that it holds all requisite rights: a) to market Product in and through the Directory; b) to patents, copyrights, trademark, trade secrets, or other intellectual property interests in the Content (“IP”).
3. Disclaimer. NEWH offers the Directory solely as a means to provide access to resources available to design firms, properties and management that may facilitate or improve the maintenance of interior environments in the hospitality industry with regard to communicable diseases such as COVID. NEWH assumes no responsibility for and makes no representations about the efficacy, availability, utility, or value of any Product, and expressly disclaims any and all responsibility or liability for the Content, which responsibility and liability shall rest exclusively upon Submitter.
4. Indemnity. Submitter shall indemnify, defend and hold harmless, NEWH, its Chapters and its and their officers, directors, employees, agents, committee members, and subcontractors against all liabilities, damages, losses, costs or expenses (including, without limitation, attorneys’ fees and expenses) arising out of any suit, claim, or proceeding (a “Claim”) over: a) the purchase, use, demonstration, application, or installation of Product; b) allegations that the IP submitted to NEWH as Content violates or infringes any rights in and to the IP.
